Terms of Service

Welcome to Learnalyze, a subsidiary of Elm Education a company registered in England and Wales.

These Terms govern your access to and use of the Learnalyze platform.

1. Who Can Use Learnalyze

Learnalyze is designed for use by individuals and organisations that deliver teaching, training, or professional development. This includes, but is not limited to: - Schools, colleges, and universities - Corporate training providers - Healthcare institutions - Sports and performance organisations - Government and non-profit agencies By entering into this agreement, you confirm that you are authorised to act on behalf of your organisation.

2. The Learnalyze Service

Learnalyze is a cross-sector platform that captures, processes, and analyses audio, video, and transcripts of lessons, training sessions, or professional practice. The Service is designed to improve learning, performance, and organisational development. Key features include (but are not limited to): - Secure recording and storage of audio, video, and transcripts - AI-powered analysis to surface themes, trends, and performance insights - Customised reports and dashboards for trainers, leaders, or managers - Benchmarking across teams, departments, or organisations - Professional development and coaching recommendations - Integration with organisational learning systems We may update or expand features over time to improve the Service. Where possible, we will notify administrators in advance of major changes.

3. Your Responsibilities

You agree to: - Use the Service only for lawful, ethical, and professional purposes - Ensure any data shared with Learnalyze (e.g., audio, video, transcripts) has been collected and shared with appropriate consent - Comply with data protection, privacy, and employment laws relevant to your jurisdiction - Keep login credentials secure and confidential - Follow your organisation's internal policies when using the Service You must not: - Attempt to reverse-engineer, decompile, or tamper with the platform - Upload unlawful, harmful, or offensive content - Use the Service to impersonate others, harass individuals, or misuse data - Share data for which you do not have the necessary legal rights or permissions

4. Data Protection & Privacy

Learnalyze is designed with global data protection standards in mind (including GDPR and equivalent frameworks in other regions). Key points: - We process data only as necessary to deliver and improve the Service - We do not use personal data for marketing without explicit consent - All data is securely stored and encrypted at rest and in transit - Uploaded data remains the property of your organisation - Your organisation acts as the data controller; Learnalyze acts as the data processor on your behalf For international clients, data residency and transfer mechanisms (e.g., Standard Contractual Clauses) will be agreed contractually.

5. Subscription & Payment

Learnalyze is provided on a subscription or contract basis. Fees, billing cycles, and termination conditions are defined in your commercial agreement with Learnalyze and not within these Terms. Non-payment or contract expiration may result in suspension of access.

6. Intellectual Property

All intellectual property rights in the Learnalyze platform — including software, algorithms, content, and branding — are owned by Elm Education Ltd or its licensors. You are granted a non-exclusive, non-transferable licence to use the Service for the duration of your subscription. Your organisation retains ownership of all content, recordings, and data you upload to Learnalyze.

7. Service Availability & Support

We aim to provide 99.9% uptime and will use reasonable efforts to maintain continuous service. Planned maintenance may cause occasional interruptions; advance notice will be given where possible. Support is available via support@learnalyze.net during standard UK business hours (with enterprise SLAs available for global clients).

8. Termination

We reserve the right to suspend or terminate your access if: - You breach these Terms - Your subscription lapses or is cancelled - You use the Service in a way that could harm others or the platform Upon termination: - Access to your data may be removed - You may request a secure export of your data prior to cancellation, subject to reasonable processing time

9. Limitation of Liability

To the maximum extent permitted by law, Learnalyze shall not be liable for: - Any indirect, incidental, or consequential damages - Loss of data, profits, or business resulting from use of the Service Our total liability is limited to the fees paid by your organisation in the 12 months prior to the claim.

10. Changes to These Terms

We may update these Terms periodically. When we do: - We will notify account administrators by email or via the platform - Continued use of Learnalyze after updates constitutes acceptance of the revised Terms

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts. (For international clients, governing law and jurisdiction may be agreed separately in commercial contracts.)
